Terms of Service

1. Agreement

By accessing or using UniZaar (“the Platform”), operated by UniCorns Ltd (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. UniZaar is a peer-to-peer (P2P) marketplace that enables individuals to buy and sell goods directly to each other.

2. Eligibility

• You must be at least 18 years old to use UniZaar
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• One person may not operate multiple accounts without prior approval

3. Platform Role

UniZaar is a marketplace platform, not a party to transactions between buyers and sellers. We facilitate connections and provide tools (messaging, escrow, dispute resolution) but do not guarantee the quality, safety, or legality of items listed. Buyers and sellers transact at their own risk.

4. Seller Obligations

• List items accurately with truthful descriptions, images, and pricing
• Only list items you legally own and have the right to sell
• Do not list prohibited items (counterfeit goods, weapons, drugs, stolen property, illegal items under Kenyan law)
• Fulfil accepted offers promptly and in good faith
• Comply with all applicable Kenyan tax obligations including VAT where applicable
• Business accounts are subject to listing limits on the P2P platform (see Anti-Abuse Policy)

5. Buyer Obligations

• Make offers in good faith with intent to complete the purchase
• Pay promptly upon acceptance of your offer
• Inspect items upon delivery and report issues within 48 hours
• Do not use the platform for money laundering or fraudulent activity

6. Fees

Listing items on UniZaar is free. We may charge a transaction fee on completed sales as displayed at the time of transaction. Fee schedules are published on the platform and may be updated with 30 days notice. Delivery fees, if applicable, are separate and displayed before purchase confirmation.

7. Payments & Escrow

UniZaar may offer escrow services for eligible transactions to protect both buyers and sellers. When escrow is used, payment is held until the buyer confirms receipt and satisfaction. Payment methods include M-Pesa, Stripe, and other supported providers. We are not responsible for fees charged by payment processors.

8. Disputes

If a dispute arises between a buyer and seller, we encourage resolution through our in-app messaging system. If unresolved, either party may escalate to our dispute resolution team. Our decisions on disputes are binding for transactions conducted through the platform. For disputes we cannot resolve, Kenyan courts shall have jurisdiction.

9. Prohibited Conduct

• Circumventing platform fees by conducting transactions off-platform
• Manipulating ratings, reviews, or search results
• Harassing, threatening, or abusing other users
• Using automated tools to scrape data or create listings
• Impersonating other users or entities
• Listing counterfeit, stolen, or illegal items
• Business accounts abusing P2P listings to avoid B2C marketplace fees

10. Content & Intellectual Property

You retain ownership of content you post (listings, images, reviews). By posting, you grant UniCorns a non-exclusive, worldwide license to display, distribute, and promote your content on the Platform. We may remove content that violates these terms. The UniZaar name, logo, and platform design are trademarks of UniCorns Ltd.

11. Account Suspension & Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or harm the platform community. You may delete your account at any time through your account settings. Upon termination, active listings are removed and pending transactions are handled per our dispute resolution process.

12. Limitation of Liability

To the maximum extent permitted by Kenyan law, UniCorns Ltd shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability for any claim shall not exceed the fees you paid to us in the 12 months preceding the claim. This does not affect your statutory rights under Kenyan consumer protection law.

13. Privacy

Your use of UniZaar is also governed by our Privacy Policy and Cookie Policy.

14. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kenya, without prejudice to your right to seek remedies in your local jurisdiction where required by law.
